UETA's Section 7 establishes four requirements for electronic signatures: (1) the parties must have agreed to conduct the transaction electronically, (2) the electronic signature must be an electronic sound, symbol, or process, (3) the signature must be attached to or logically associated with the record, and (4) the signer must have executed the signature with intent to sign. What is UETA?

The Uniform Electronic Transactions Act (UETA) is a uniform state law developed by the Uniform Law Commission in 1999 that establishes the legal validity of electronic records and signatures in state commercial transactions. It has been adopted by 49 US states plus DC. New York has its own equivalent, the Electronic Signatures and Records Act (ESRA).

How does UETA differ from the ESIGN Act?

ESIGN is a federal law governing interstate and foreign commerce. UETA is a state law governing intrastate transactions. Where both apply (most commercial contracts), they reach the same result — electronic signatures are legally valid. ESIGN preempts UETA where there are inconsistencies, but in practice both recognize the same signatures as valid.

Are Zignature signatures valid under UETA?

Yes. Zignature signatures satisfy all core UETA requirements: the parties agree to electronic transactions, Zignature's click-to-sign process constitutes an 'electronic sound, symbol, or process,' each signature is logically associated with the signed document, and the signer executes the signature with intent to sign — captured through the signing interface.

Which state has not adopted UETA?

New York is the only US state that has not adopted UETA. Instead, New York enacted its own Electronic Signatures and Records Act (ESRA), which provides similar — but not identical — recognition of electronic signatures. Zignature's signatures also satisfy New York ESRA requirements.

Does UETA apply to real estate transactions?

Yes. Most state adoptions of UETA explicitly include real estate transactions. Purchase agreements, lease agreements, listing contracts, and related real estate documents are legally binding when signed electronically in all UETA-adopting states (with minor state-specific exceptions for deeds and mortgages that some states require to be recorded in wet-ink form).

Can government agencies accept UETA-signed documents?

Many states have extended UETA to cover government transactions, allowing agencies to accept and issue electronic records. However, each government agency may have specific requirements. Verify with the specific agency whether they accept electronic signatures for your document type before assuming UETA coverage.

What records must be retained under UETA?

UETA requires that electronic records be retained in a form that is accessible and reproducible for later reference. Does UETA cover consumer electronic signatures?
