Board Governance

Digitize Board Governance

Streamline board resolutions, conflict of interest disclosures, fiduciary duty acknowledgments, committee charters, and bylaws amendments. Every formal action your board takes deserves a secure, auditable digital workflow.

Nonprofit boards are required to document every formal action with proper signatures from officers and directors. Zignature digitizes the entire governance lifecycle from resolution drafting through multi-director signature routing and quorum verification. Annual COI questionnaires, D&O acceptance letters, and committee charters are managed with version tracking, redline comparison, and membership approval workflows — all with tamper-evident audit trails.

Board resolutions and unanimous written consents — formal actions with multi-director signature routing and quorum verification
Conflict of interest disclosures — annual COI questionnaires with related party transaction documentation and board review attestation
Fiduciary duty acknowledgments — director and officer acceptance letters with D&O insurance coverage confirmation
Committee charters and bylaws amendments — governance documents with version tracking, redline comparison, and membership approval workflows

Did you know? The IRS requires nonprofits to maintain contemporaneous board minutes and signed resolutions. Organizations with digital governance workflows are 4x more likely to pass compliance audits without findings.

Every document is encrypted, timestamped, and audit-ready.

Program participant agreements — enrollment forms, code of conduct acknowledgments, and outcomes tracking consent with HIPAA-compliant health disclosures
Vendor and contractor agreements — service contracts, independent contractor certifications, and W-9 collection with automated 1099 preparation
Audit and compliance documentation — engagement letters, management representation letters, and A-133 single audit coordination
